NAR1 form - annual return

Any Hong Kong registered company must fill in, signed and deliver the NAR1 form (Annual Return form) with the annual registration fee within 42 days after the date of return. Any late delivery (or submission) is subject to payment of a higher registration fee (or penalty).

How to fill in the NAR1 (Annual Return) form?

For the NAR1 form i.e. Annual Return form for Hong Kong Companies Registry, you will have to fill in the following information.

Enter the company number and the company name. The company number and company name must be the same ones as those stated in the company’s Certificate of Incorporation, or the last Certificate of Change of Name.

Enter the business name (if there is any), which may be different to the registered company name.

Select the type of company from private company, public company, or company limited by guarantee.

Enter Date to which this Return is Made Up.

  • For a private company, the information in this return should be made up to the anniversary of the date of its incorporation. For example, if the company was incorporated on 10 March 2014, then the return should be made up on 10 March 2015.

  • For a public company, the return should be made up to the date that is 6 months after the end of its accounting reference period.

  • For a company limited by guarantee, the return should be made up to the date that is 9 months after the end of its accounting reference period.


Provide the Period Covered by Financial Statements Delivered with this Form. A private company does not have to complete this section.

Provide the Address of Registered Office. Full address of the registered office in Hong Kong should be stated.

Fill in the Presentor’s Reference information to enable follow-up. The information includes presentor’s name, address, phone number, and email address.

Provide the email address of the company to enable electronic communication via emails.

Company Secretary Information

The company secretary may be a natural person or a body corporate.

Company Secretary (Natural Person)

Fill in name in Chinese, name in English, previous names (if any), alias (if any), Hong Kong correspondence address, and email address.

Fill in the Hong Kong Identify Card number, or Passport number with issuing country.

If the particulars have not been reported to Companies Registry, they must be updated using form ND2B.

Company Secretary (Body Corporate)

Fill in name in Chinese, name in English, Hong Kong address, email address, and company number.

Directors Information

Under Directors, fill in the particulars of the Director (or Body Corporate) and Reserve Director.

Directors (Natural Persons)

Select the capacity of the Director – This may be either Director or Alternative Director. If this is alternative director, state who.

Fill in name in Chinese, name in English, previous names (if any), alias (if any), residential address with country or region, and email address.

Fill in the Hong Kong Identify Card number, or Passport number with issuing country.

If the particulars have not been reported to Companies Registry, they must be updated using form ND2B.

Directors (Body Corporate)

Select the capacity of the Director – This may be either Director or Alternative Director. If this is alternative director, state who.

Fill in name in Chinese, name in English, address with country or region, email address, and company number.

You may have to fill in more than one director according to your case.

Reserve Director

The Reserve Director is applicable only for a private company with only one member who is also the sole director of the company.

Fill in name in Chinese, name in English, previous names (if any), alias (if any), residential address with country or region, and email address.

Fill in the Hong Kong Identify Card number, or Passport number with issuing country.

Particulars of Members

Company having a share capital must provide the Particulars of Members.

Select either:

  • Particulars of members of a non-listed company are listed in Schedule 1, or

  • Particulars of members of a listed company are listed in Schedule 2


Address where the Company Records are kept (if not kept at the registered office stated in Section 6).

For a private company, tick the box to make the Statement.

Under Advisory Note, all directors of the company are advised to read ‘A Guide on Directors' Duties’ published by the Companies Registry and acquaint themselves with the general duties of directors outlined in the Guide.

Fill in the number of pages for each continuation sheets in a table.

Either the director or company secretary must sign and fill in the name and date.

Non Listed Company Information

Non-listed company having a share capital must complete this page.

Under For Non-listed Company, enter the Date to which this Return is Made Up.

Enter Class of Shares and Total Number of Issued Shares in this Class.

The particulars include name, address, shares of current holding, shares of transferred (with number and date), and percentage of issued shares held in this class.

Listed Company Information

Listed company having a share capital must complete this page.

Under For Listed Company, enter the Date to which this Return is Made Up.

Must provide the particulars of members who held 5% or more of the issued shares in any class of the company’s shares as at the date to which this return is made up.

Enter Class of Shares and Total Number of Issued Shares in this Class.

The particulars include name, address, shares of current holding, and percentage of issued shares held in this class.
